The Board of Trustees

Regulation

Corporate governing body of the Foundation is the Board of Trustees, which members are selected annually on the Constituent Assembly of Founders. Terms of reference for the Board of Trustees:

• Assignment and termination of the Foundation executive body;
• Conduct control over the Foundation activities in the frame of stated Foundation regulations;
• Approve organizational structure of the Foundation, annual operational budget of the Foundation, and other issues that are not covered by exclusive competency of the Constituent Assembly of Founders.

Board of Trustees Regulations confirmed and approved by Constituent Assembly of Founders. The Board of Trustees includes Honorary Board Members and Expert Board Members. Honorary Board Members invited to participate on meetings of Board of Trustees annually on a voluntary basis.

President of the Foundation

Execution Body in the Foundation is a President, who is nominated for the period of one year. President operates based on and execution of actions assigned by Governing Board and Trustee Board. The President:

• Conduct management of the Foundation’s activities
• Appoint staff members, sign job agreements and contracts.
• Represent interest of the Foundation in relations with Governmental and Non-Governmental entities, organizations, other individual and legal entities in Kazakhstan and Internationally.
• Issue an order and directs staff of the Foundation.
• Entitled to conduct deals on behalf of the Foundation.
• Carries other duties that are not under exclusive competency of Governing Board and Board of Trustees

Auditor Control over financial and administrative activities of the Foundation is conducted by Auditor appointed by Founders.
