REGULATIONS OF THE BOARD OF TRUSTEES
OF THE YERZHAN TATISHEV FOUNDATION
1. General regulations:
Top governing body of the Foundation is the Board of Trustees. Board of Trustees (the Board) functioning under existing form of Regulations which was approved by The Foundation Founders. The Regulations is a basic document that keeps right and responsibilities for all member of the Board as well as procedures for carry issues related to the Foundations activities. All changes and amendments in the Regulation can be done only by Founders in certan order after what it must be considered as real and mandatory.
The Board has a meeting once in two month for projects review and other issues related to the Foundation’s activities. Special session can be called only by initiatives one of the Board members or President.
The Board of Trustees unite individuals on a voluntary basis and genuinely motivated to bring own input into development of youth and formation of socially responsible civil society in Republic of Kazakhstan, also in order to provide support to poor in the frame of the Foundation activities and according to the best world practices.
The Board of Trustees conducts its activities in response to the Constitution of the Republic of Kazakhstan, Law of RK “on Education”, Law of RK “on Public Organizations”, Civil Code, The Foundation Regulation, present Regulations, and other laws and regulations.
2. Goals and Objectives:
Goals of the Board of Trustees are:
- To develop Yerzhan Tatishev Foundation as a best one among international regional private educational foundations working in enhancing educational system and charity;
- To assist sustainable development to the Foundation in relation to its mission and vision. To keep and develop best practices of charity and philanthropy;
- To integrate the Foundation into international system of humanitarian, educational and charity organizations.
Objective of the Board of Trustees are:
- To form and strategically manage organizational capacity and opportunities of the Foundation;
- Assist in development of international connections of the Foundation;
- Assist in development of new and existing programs and project of the Foundation;
- Improve and enhance material and technical base of the Foundation.
3. The Board of Trustees structure. Rights and Responsibilities of the Members.
- Members of the Board can be any citizen of Kazakhstan and other countries representing corporate organizations or as individuals who shares goals and objectives of the Foundation and who are really interested in development of social projects of the Foundation for the future generation.
- The Board of Trustees consist of :
- Four permanent members (The Foundation Founders)
- One expert member;
- Honorary members (representatives of business, public, culture and art of RK ) – number is not limited;
- Executive Secretariat
- Permanent members of the Board (they also Founders) are keep the membership throughout all time of the Foundation functioning and can leave membership only if they willing so. The rest members of the Board are selective to one year. By the end of the period of membership they can be re-elected to next year or replaced by new members. Right to make such decision is left after the Foundation Founders. Confirmation of new list of members is announced annually by the Board of Trustees.
- Members of the Board of Trustees has a right to:
- Obtain exhaustive information on financial condition of the Foundation, its material and technical base, condition of on going project and programs, research and other issues related to the activities of the Foundation in order to meet its goals and objectives.
- Conduct control over realization of given recommendations and programs approved by the Board;
- Disseminate information about the Foundation activities;
- Define order of formation and direction of the Foundation resources
- Participate in programs and projects developed and implemented by the Foundation
- Members of the Board of Trustees responsible to:
- Support to development of the Foundation’s activities, its project as well as to strength positive public image of the Foundation;
- Support to expand and improve international relations of the Foundation and its material base;
- Support to expand of partnership relations of the Foundation in Kazakhstan and in the region.
4. The Board of Trustees Management
- Session of the Board of Trustees meeting is conducted six times a year according to schedule set by the Board. If it is required, the Board can gather for extra meetings based on request one of the members or President of the Foundation.
- The Board solve all issues related to Foundation’s activities, such as:
- Conduct Foundation management based on existing Board Regulations;
- Annually report to the Founders on the Foundation’s activities;
- Session of the Board of Trustees is considered to be authorized, if there taking participation one of the Founders, President and not less then three its non-permanent members or their official representatives. Members of the Foundation that are not personally attending to the session have a right to delegate their authorities to other its members. Decisions considered to be authorized by majority of the voices given by members of the Board;
- Members of the Board (Founders of the Foundation) have exclusive veto rights on decisions made. Decisions cannot be made if there are more than two veto was given on it by not less then two permanent members of the Board.
- External experts on various specializations can be invited to the sessions if there are such necessities. External experts do not have a right to vote.
- Chairman of the Board of Trustees elected from number or permanent members of the Board for one year and reelected on annual meetings of the Board.
- Chairman of the Board of Trustees:
- Conduct common management over activities of the Board;
- Represents the Board of Trustees in government, business and public organizations and entities;
- Approves and leads agenda for sessions provided by President.
- In case of absence of Chairman another member can be delegated to hold this position for a session;
- Keep documentations of the Board as well as logistics are under responsibility of an executive staff of the Foundation
Accounting
- All expenses related to participation and work in the Board is covered by its members on its own.
5. Reorganization and liquidation of the Board of Trustees
- Reorganization and liquidation of the Board of Trustees conducted based on decisions of the Founders.
